Managing Corporate Investigations with E-Discovery
Attorneys conduct corporate investigations for their clients for numerous reasons. Not every
investigation is reliable that guarantee the imposition of special standards. For instance, attorneys on a
timely basis investigate the client for learning about data that will advance a counseling or litigation
objective for the organization. The first type, that will term a counseling investigation is characterized by
the consonance of the interest between the client and attorney. The corporate investigation is not
conducted to cater to a corporate management duty to investigate and is frequently used to help the
counsel in advising the client.

When the information that is gathered from a counseling investigation is divulged to the third parties,
for instance in litigation discovery it does not assert to be supported by the counsel's investigation.
Therefore, the counseling investigation does not involve real concerns that vary from the standard
representation. The attorney ethics rules and standard of care that rule every representation offer
sufficient security to third part and clients respectively. The attorney also needs to report honestly with
a singular professional judgement to the client.

The second category of corporate investigation is known as diligence investigation, and is generally
conducted by counsel to ground the representations to a third party. The customary example here is the
investigation that is carried on to assist a representation submitted in an opinion letter that the counsel
offers to a third party connection along with a transaction. For instance, in case of a business transaction
an attorney might be asked to express opinions on the client's good standing, about the transaction
validity, whether the security offered is valid or whether the transaction can be subjected to a tax
exemption.
